Please read these terms carefully before using our platform.
These Terms of Service ("Terms") govern your access to and use of Cuttoshape, including all related websites, applications, software, and services (collectively, the "Platform") operated by Cuttoshape Afrowears LLC ("Cuttoshape," "we," "us," or "our").
By accessing or using Cuttoshape, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
1. Description of the Service
Cuttoshape is a digital business management platform designed for fashion designers, tailors, fashion houses, and fashion entrepreneurs. The Platform provides tools including, but not limited to:
- Customer and measurement management
- AI-enabled contactless body measurement (where applicable)
- Order tracking and workflow management
- Invoice creation and sharing
- Costing and pricing tools
- Business analytics and reporting
- Digital storefront and sharing features
Note: Cuttoshape is a software-as-a-service (SaaS) platform and does not itself manufacture garments or guarantee business outcomes.
2. Account Registration
Account Responsibility
When creating an account, you agree to:
- Provide accurate, complete, and up-to-date information
- Maintain the confidentiality of your login credentials
- Accept responsibility for all activities conducted under your account
Cuttoshape is not liable for any loss or damage arising from unauthorized account access caused by your failure to safeguard credentials.
3. Acceptable Use
You agree to use Cuttoshape only for lawful business purposes. You must not:
- Use the Platform for fraudulent, deceptive, or illegal activities
- Upload false, misleading, or unauthorized customer data
- Infringe intellectual property, privacy, or data protection rights
- Attempt to reverse engineer, disrupt, or compromise the Platform's security
- Use the Platform to transmit malware or harmful code
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Customer Data and Data Ownership
a. Ownership
You retain full ownership of all customer data, measurements, designs, and business information you upload to Cuttoshape ("User Data").
b. Data Processing
By using the Platform, you grant Cuttoshape a limited, non-exclusive right to host, process, and store User Data solely for the purpose of providing and improving the services.
c. User Responsibility
You are solely responsible for obtaining customer consent to collect and store their data, ensuring compliance with applicable data protection/privacy laws, and the accuracy of all User Data.
5. AI Features and Measurement Disclaimer
Cuttoshape may provide AI-powered body measurement tools and automation features. You acknowledge that:
- AI-generated measurements are estimates and may require manual review or confirmation
- Final garment fit depends on multiple factors including fabric, tailoring skill, and production execution
- Cuttoshape does not guarantee measurement accuracy or final garment outcomes
Use of AI features is at your discretion and professional judgment.
6. Payments, Subscriptions, and Fees
a. Subscription Plans
Certain features of Cuttoshape may require a paid subscription. Plan details, pricing, and features are disclosed at the point of purchase.
b. Billing
- Fees are billed in advance on a recurring basis (monthly, quarterly, semi-annually or annually) unless otherwise stated
- Payments are processed through third-party payment providers
- Failure to pay may result in suspension or downgrade of services
c. Refunds
Except where required by law, subscription fees are non-refundable.
7. Intellectual Property Rights
a. Platform Ownership
All intellectual property related to Cuttoshape —including software, trademarks, logos, content, and design—is owned by or licensed to Cuttoshape.
b. License to Use
We grant you a limited, non-transferable, non-exclusive license to use the Platform solely for your internal business purposes during your subscription period. You may not copy, resell, sublicense, or exploit any part of the Platform without written consent.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted or error-free service. Cuttoshape may perform maintenance, updates, or modify features. We are not liable for service interruptions beyond our reasonable control.
9. Termination
You may terminate your account at any time. We may suspend or terminate your access if you breach these Terms or for legal/ security reasons. Upon termination, data handling will follow our Privacy Policy.
10. Disclaimers
Cuttoshape is provided "as is" and "as available." We disclaim all warranties, express or implied. We do not guarantee business results, revenue, customer acquisition, or profitability. We are not responsible for disputes between designers and their customers.
11. Limitation of Liability
To the fullest extent permitted by law, Cuttoshape shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid by you for the service in the preceding 12 months.
12. Indemnification
You agree to indemnify and hold harmless Cuttoshape, its officers, employees, and partners from any claims, damages, or losses arising from your use of the Platform, your violation of these Terms, or your handling of customer data/transactions.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria or the State of Texas depending on the location where the user in dispute transact from and without regard to conflict of law principles.
Any disputes shall first be resolved through good-faith negotiation. Where unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria and that of State of Texas.
14. Changes to These Terms
We may update these Terms from time to time. Updates will be posted on the Platform, and continued use constitutes acceptance of the revised Terms.
